1.2 When you place an order and/or subscribe to our services, you enter into a legally binding agreement with Caro Emerald B.V. By doing so, you also declare to understand and accept these General Terms and Conditions.
1.3 Caro Emerald B.V. reserves the right to change its terms and / or conditions anytime. We reserve the right, at our sole discretion, to update, change or replace any part of these terms and conditions by posting updates and changes to our website. It is your responsibility to check our website periodically for changes.
1.4 Caro Emerald B.V. reserves the right to refuse and/or cancel orders without further explanation.
1.5 Caro Emerald B.V. does not guarantee that the information, links, data, items and/or services displayed on the website(s) and in newsletters are always correct and up to date.
1.6 The range of items is subject to change. Availability and stock may vary. The display of items and/or services does not constitute an offer and isn’t binding.
1.7 Caro Emerald B.V. reserves the right to cease the sale of any item and/or service, at any time, even after orders have been placed.

2. Processing / Shipping / Delivery
2.1 Delivery takes place while stocks last.
2.2 Goods will be shipped between 5 to 10 working days.
2.3 Although Caro Emerald B.V. strives to process and send all orders as quickly as possible, the above mentioned term is indicative. Some orders may take longer to deliver, depending on item availability.
2.4 All orders are sent as a standard package shipment.
2.5 Caro Emerald B.V. does her utmost best to use the best suitable packaging, but does not accept liability for any damage that may occur during shipping. The risk of damage and/or loss is transferred completely to you from the moment the shipment is picked up by the shipping company.
2.6 Caro Emerald B.V. does not accept liability for any delay that may occur during the processing and/or delivery of items. In case any delay is caused by Caro Emerald B.V., you can be informed by email.
2.7 In case Caro Emerald B.V. is not able to deliver within a reasonable term, you can cancel your order by email. Caro Emerald B.V. will then refund your payment.
2.8 Caro Emerald B.V. reserves the right to hire and/or license third parties to process, handle and ship your order(s). Additional third party general terms and conditions may apply. Caro Emerald B.V. does not accept liability for these terms and conditions.
3.1 All items have to be paid in advance. An invoice is issued by email, or added to the shipped item(s).
3.2 If, for any reason, your payment does not arrive in our account, Caro Emerald B.V. has the right to cancel your order without informing you.
3.3 All prices on the site are subject to misprints. For the consequences of misprints no liability is accepted.
3.4 All prices on the site are in EURO and include 21% VAT, shipping costs are not included. Caro Emerald B.V. reserves the right to alter prices at any time. However prices can’t be changed after your order has been placed, unless indicated otherwise.
3.5 Depending on your location and local tax regulations, additional custom costs and/or taxes may be charged to you by local authorities. Caro Emerald B.V. does not accept liability for these costs.
4. Check upon reception, Returns, Liability
4.1 Items must be checked by you immediately upon reception. If the order has not been processed correctly, and/or items are not in sound condition, you have to inform Caro Emerald B.V. within 10 working days.
4.2 If you believe your order has not been processed correctly, you will have to inform Caro Emerald B.V. accordingly. Caro Emerald B.V. will check your order, and ask you return the relevant items in case your order has been processed incorrectly. Upon reception of the incorrect processed items, Caro Emerald B.V. will replace the items with the proper items at her own cost.
4.3 You have the right to return all physical items to Caro Emerald B.V. within 7 days upon reception, without any motivation. All shipping costs incurred have to be borne by you. Caro Emerald B.V. will refund the item payment within 30 days upon reception of the item(s).
4.4 Caro Emerald B.V. only accepts returned items that are unopened, undamaged and in perfect, original state.
4.5 Returned items that arrive damaged at Caro Emerald B.V. are not accepted nor refunded.
4.6 Caro Emerald B.V. does not accept any product liability, for the items and/or services offered and/or sold, in the broadest sense of the word. You are solely responsible for the (proper) use of items and/or services. In case, for any reason, Caro Emerald B.V. does turn out to be liable for any of her items and/or service, liability is limited to a maximum of 1.000 Euro per event.
4.7 Caro Emerald B.V. does not offer any item-, service- or product guarantee(s).
4.8 Caro Emerald B.V. is not liable for damage that may occur due to circumstances outside of her control, such as (but not limited to) force majeure.
5. Data management
5.1 If you place an order with Caro Emerald B.V., your data will be included in the customer base of Caro Emerald B.V. Caro Emerald B.V. will not provide your information to third parties.
5.2 Caro Emerald B.V. respects the privacy of the users of the web site and shall ensure the confidentiality of your personal data.
6.1 An agreement between Caro Emerald B.V. and a customer is established after an order commissioned by Caro Emerald B.V. on feasibility is assessed.
6.2 Caro Emerald B.V. reserves the right, without giving any reason not to accept orders or contracts or only to accept the condition that the consignment under reimbursement or payment.
7.1 Caro Emerald B.V. is not liable if and to the extent that she can not be fulfilled due to force majeure.
7.2 Force majeure shall mean any strange reason, and any circumstance which reasonably she can not be held responsible. Delay or failure by our suppliers, shipping, strikes, government measures, delays in supply, omissions of suppliers and / or manufacturers of Caro Emerald B.V. as well as from individuals, disease, defects in or shipment tools count explicitly as force majeure.
7.3 Caro Emerald B.V. reserves in case of force majeure the right to suspend its obligations and is entitled to the contract in whole or in part, or to demand that the content of the agreement is amended to enable performance. In no event shall Caro Emerald B.V. account any penalty or damages.
8. Final Provisions
8.1 These General Terms and Conditions are valid as of November 1, 2015 and replace any and all earlier terms and conditions
8.2 All orders, subscriptions and consequent agreements and terms, including these General Terms and Conditions, are governed by Dutch Law.
8.3 Any disagreement(s) between Caro Emerald B.V. and you shall be handled exclusively by the appropriate court in Amsterdam, The Netherlands.
